The objective is to select vendors who are best able to meet the projects needs in terms of work, product, and budget. Keep in mind that while the PMBOK® paints Procurement Management activities with a broad brush in order to cover all industries, CMM/CMMI are only interested in activities that pertain to software subcontractors, or software vendors. The Procurement Management plan must cover any procurement. As with the other KPAs, Software Subcontract Management is organized into goals, commitments, abilities, activities, measurements, and verifications.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Goals&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;The 4 goals of this KPA are:&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Qualified software subcontractors are selected by the project manager. This goal is supported in full by the Conduct Procurements process.&lt;/p&gt;&lt;p&gt;The customer and subcontractor agree to their commitments to each other. The contract for the delivery of goods and/or services for consideration is the agreement. The contract (procurement contract award) is the output of the conduct procurements process.&lt;/p&gt;&lt;p&gt;The customer and subcontractor maintain ongoing communications. There is nothing in the Procurement Management processes which specifically addresses this goal; however the scheduling of regular review meetings&amp;nbsp;&lt;a href=&quot;http://sourcing-force.com&quot;&gt;sourcing-force.com&lt;/a&gt;, such as performance reviews will meet this goal.&lt;/p&gt;&lt;p&gt;The customer tracks the software subcontractor&#39;s results against commitments. Work performance information, performance reports, and performance reviews are all inputs of the administer procurements process and serve to track results against commitments.&lt;/p&gt;&lt;p&gt;Commitment to Perform&lt;/p&gt;&lt;p&gt;There are 2 commitments: that the project follows a written organizational policy for managing the software subcontractor and that a subcontract manager is designated to be responsible for establishing and managing the software contract. The policy is the responsibility of the organization subcontracting the work and you, or someone you assign to the role, is the subcontract manager. Your Procurement Management plan is not an organizational policy but will take the place of one for the project you are managing.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Ability to Perform&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;You will demonstrate an ability to perform the activities called for by your plan by assigning adequate resources and funding to the job of selecting and managing the subcontractor. You are the first resource assigned to the project and any organizational policies, standards, vendor lists, and your Procurement Management plan are also resources. Any managers or other individuals that you assign to the work of selecting or managing the subcontractor must be adequately trained in that work and given orientation on the technical aspects of the contract. Your Human Resources Management plan will describe how this is done. Resources assigned to your project by outside organizations such as a Procurement group should be trained by that group.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Activities Performed&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Define and plan the work according to the documented procedure and the subcontracted work is described in a Statement of Work (SOW), which is derived from the project SOW. The documented procedure in this case will be your Procurement Management plan. The detailed activities include make or buy decisions, and choosing vendor selection criteria. The SOW should also be reviewed and agree to by resources working on subcontractor selection and management.&lt;/p&gt;&lt;p&gt;Select the subcontractor based on their ability to perform the work in accordance with a documented procedure. This is the Conduct Procurements process described in your Procurement Management plan.&lt;/p&gt;&lt;p&gt;The contract between the customer and the subcontractor is used to manage the subcontract. This activity includes the specification of the work products the subcontractor must deliver, criteria they must meet, how changes will be made, acceptance criteria, and how subcontractor performance will be monitored. This is all standard stuff covered off in the Conduct Procurements and Administer Procurements processes.&lt;/p&gt;&lt;p&gt;The customer reviews and approves the software subcontractor&#39;s development plan. This will be a deliverable covered in the SOW and the approval process and conditions for approval will also be described there.&lt;/p&gt;&lt;p&gt;The subcontractor&#39;s plan is used to track the subcontractor&#39;s activities. The tracking should be done at status review meetings you conduct with the subcontractor&#39;s project manager.&lt;/p&gt;&lt;p&gt;Changes to the subcontractor&#39;s SOW and contract are decided upon according to a documented procedure. This procedure will be the Contract Change Control System described in the Administer Procurements process.&lt;/p&gt;&lt;p&gt;The customer conducts periodic status/coordination reviews with the subcontractor&#39;s management. These are called Procurement Performance Reviews by the PMBOK® and are part of the Administer Procurements process. These should be spelled out in the SOW and should be held at scheduled intervals (e.g. once a week) to review the status of the subcontractor&#39;s project. This activity goes on to specify that deviations from the plan are addressed and that conflicts are addressed. Corrective actions are part of the subcontractor PM&#39;s responsibilities. Deviations not addressed by that PM would result in conflict and conflicts are resolved by the Claims Administration tool described in Administer Procurements. The best way of meeting these needs is to ensure that the subcontractor&#39;s PM manages your project in accordance with project management best practices (which call for corrective action to be taken when results deviate from the plan). You also should ensure that the PM maintains an action register or issue log to capture any issues you have with the project.&lt;/p&gt;&lt;p&gt;Periodic technical reviews are held with the subcontractor. This activity verifies that the product being produced meets your needs and any quality targets set for it. This activity is described in the Administer Procurements process as Inspections and Audits. Interpret this to mean reviews of Functional Specifications and Detail Design Documents produced by the subcontractor where the requirements captured in your Business Requirements Document are translated into functions, and code.&lt;/p&gt;&lt;p&gt;Formal reviews of the subcontractor&#39;s work products are conducted at selected milestones. These formal reviews are what I refer to as Gate Review meetings conducted at key milestones throughout the project. The subcontractor may have their own Gate Review meetings with you as a key stakeholder, or your Gate Review meetings may be sufficient on their own. In either case the deliverables planned for the completed sub-project phase should be reviewed for completeness and plans, resources, risks, etc. of the upcoming sub-project phase should also be reviewed.&lt;/p&gt;&lt;p&gt;The customer&#39;s Software Quality Assurance group (SQA) monitors the subcontractor&#39;s SQA activities according to a documented procedure. This is beyond the scope of your project, unless your project is also implementing an SQA group and processes. Your project can contribute to the activity by ensuring that the contract, SOW, and your Quality Management plan specify the SQA activities required of the subcontractor and performing audits to ensure those activities are done.&lt;/p&gt;&lt;p&gt;Your Configuration Management group monitors the configuration activities of the subcontractor. The SOW used to define the subcontractor&#39;s responsibilities should include CM activities and these should also be captured in the subcontractor&#39;s project plans. Reviews and audits need to include verification that the subcontractor performs their CM activities as per their plans.&lt;/p&gt;&lt;p&gt;You should conduct acceptance testing of the subcontractor&#39;s deliverables according to a documented procedure. Inspections of deliverables such as specifications, designs, and code should be governed by the Administer Procurements process in your plan. These should include testing of the software (User Acceptance Testing).&lt;/p&gt;&lt;p&gt;The subcontractor&#39;s performance is evaluated periodically and the evaluation reviewed with the subcontractor. This is described in the Tools &amp;amp; Techniques section of the Administer Procurements process (Procurement Performance Reviews).&lt;/p&gt;&lt;p&gt;Measurement and Analysis&lt;/p&gt;&lt;p&gt;There is only one measurement: measurements are taken and used to determine the status of the Procurement Management activities. These measurements are taken as part of the oversight of the project management activities of the overall project. They will be provided for in your project plans.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Verifying Implementation&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Your Procurement Management activities should be reviewed with senior management periodically. This can happen at Gate Review meetings and/or at Steering Committee meetings, and meetings with your sponsor. If you are managing a project and have a project manager reporting to you on a software sub-project, you need to meet with them periodically to review their procurement management activities. This could be part of the agenda for weekly status review meetings, or require meetings specifically for the purpose. Finally, the SQA group must review and/or audit the tools and activities used for Procurement Management. This will only be possible if your organization has an SQA group. He certainly had something relevant to say to today&#39;s Washington leadership about how to thaw our chilled business climate.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Remember Aesop&#39;s story about the contest between the sun and the wind? In the fable, the two heavenly forces are debating which of them is more powerful when they see a man walking down a lonely road. They decide to settle their dispute by seeing which of them can get the man&#39;s coat off the fastest. The wind tries first, blowing fiercely at the man&#39;s shoulders. But the man pulls the coat closer, and the wind cannot get it off. Then the sun takes its turn. It shines gently on the man, slowly warming him, until he decides to take the coat off himself.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;I thought of this story the other day as I considered the tax policy debate, and the Obama administration&#39;s fervent desire to get corporations to start spending the trillions of dollars they have salted away. For economic recovery to take hold, businesses must be convinced to relax their grip on that cash.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Businesses have faced a blustery political climate since 2007, when Democrats took control of Congress, and things got downright icy after President Obama took office in 2009. There has been harsh rhetoric about tax rates and &quot;speculators&quot; and &quot;fat cats,&quot; accompanied by a flurry of gusty policy action, ranging from union-friendly reinterpretations of existing labor law, to health care mandates and other payroll costs, to establishing (at some local levels, but not federally) &quot;living wage&quot; requirements. When all else fails, the playbook calls for hauling executives before Congress and grilling them on national television, often about trivia such as the use of corporate jets.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;There has been the occasional ray of warmth, such as the administration&#39;s decision last week to allow BP to drill once again for oil in the Gulf of Mexico, that is supposed to send a signal that things are fine again. But it is no wonder business leaders continue to cling to their cash. They have no idea from one minute to the next which way the political winds are going to blow.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;The debate on international tax policy illustrates this. Under the current system, American companies must pay taxes to the U.S. government, even when their income comes from sales made in other countries. However, the tax bill doesn&#39;t come due until the companies bring their profits back to the U.S. So if a corporation makes $1 million in India and uses that money to reinvest in India, it can defer its tax to the U.S. If, however, the corporation wants to reinvest the money stateside, it must hand over 35 percent to Uncle Sam.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Predictably, companies do everything they can to keep foreign-earned profits from returning home. The result is that less money makes it into the U.S. economy. Currently, American companies are keeping around $1 trillion in untaxed profits outside the U.S., according to Bloomberg. (1)&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;The Obama administration&#39;s proposed solution is to severely limit companies&#39; ability to defer taxation of overseas profits. That way, the burden would be just as heavy whether companies reinvest abroad or in the U.S. The administration expects that this will prompt companies to bring more money back to the U.S. It won&#39;t; instead&amp;nbsp;&lt;a href=&quot;https://taxontario.ca&quot;&gt;https://taxontario.ca&lt;/a&gt;, it will simply give a major economic boost to competing corporations organized anywhere in the world except here - because the U.S. stands virtually alone in this world-wide approach to corporate taxation. Right now, American companies can at least maintain their competitive position by investing foreign profits in research, production and marketing abroad, as other nations&#39; companies do. The administration plan would just cut off the foreign profit stream, weakening American companies and resulting in even less tax revenue in the long run.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;The sunshine approach comes from Rep. Dave Camp, chairman of the House Ways and Means Committee, who announced recently that he is working on legislation that would shift the U.S. to what is known as a &quot;territorial tax system.&quot; In territorial systems, only income earned within a country&#39;s own borders is taxable there. Income earned abroad is exempt. This is how the rest of the world taxes corporate income.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;The transition to a territorial system would lower overall corporate taxes, an important first step toward making the U.S. a friendlier place for businesses. By giving businesses incentives to grow, policies like the territorial tax system get companies to voluntarily release their cash reserves, putting money into the economy by purchasing new equipment and hiring new employees.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;We&#39;ve given Obama&#39;s windy, anti-corporate policies a fair shot. It hasn&#39;t gotten us anywhere; businesses have only pulled their coats closer. It&#39;s time now to give Camp&#39;s sunshine a chance to do its work.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Your partner, Uncle Sam, through the federal income tax and his State and Local Tax buddies (lovingly called your &quot;Tax Partners&quot;) are excited about getting their share of your business profits (and salary income) right about now. If you are like most business owners you are focused on legally reducing your contribution through strategic tax planning and strategic planning to your Tax Partners this year. If you are like the exceptional few business owners, you are doing your best to look at how you will reduce your payments to your Tax Partners over your life and the life of your business through strategic exit planning and strategic tax planning.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Common reasons given for this lack of strategic tax planning and strategic exit planning is, &quot;we need to make too many assumptions and guesses&quot;, &quot;everything changes anyway&quot;, and often, &quot;we are too busy and just never got to it&quot;.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Hence business owners who would never run their business with legacy software, put their crews in antique trucks, or run inefficient assembly lines often have old corporate elections and avoidable tax consequences because of strategic decisions made 20 years ago or more. (Just because you can&#39;t see it doesn&#39;t mean it isn&#39;t there.)&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;A recent example we saw was a meticulously run supplier of construction safety equipment. When the business was formed 25 years ago the owner elected C Corporation tax treatment. At the time there were many strategic tax benefits to that treatment and the election was the right thing to do. Yet somewhere between 12 and 15 years ago those benefits disappeared but no one ever looked forward to the long term strategic tax plan and strategic exit plan in order to foresee negative consequences.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;The business had an estimated sales value of about $1,500,000 and because of the size and nature of the business buyers insist that the sale be structured as an asset sale. This scenario means the owner&#39;s Tax Partners are going to receive approximately an ADDITIONAL $300,000 from this transaction because of the old election. This is a huge price to pay for missing a change in tax status at the right time.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;There are many other pitfalls and traps that can catch the small business owner. Because owners understand the day to day operations the traps tend to jump out and bite at times requiring major change and transition. Putting together the right team and asking the right questions periodically starting years in advance will help avoid these traps and produce superior results.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;While long range transition, tax, and exit strategy planning and analysis seem expensive in the short run they are cheap in the long run. (Yes I mean cheap.) At the end of the day it is what you keep that counts. However, IPOs are issued by companies with tangible assets and a business track record. It is all done within a regulated environment. On the other hand, an ICO is based purely on an idea proposed in a white paper by a business - yet to be in operation and without assets - that is looking for funds to start up.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Unregulated, so buyers beware&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;&#39;One cannot regulated what is unknown&#39; probably sums up the situation with digital currency. Regulators and regulations are still trying to catch up with cryptocurrencies which are continuously evolving. So, of course, I called him up and gave him a shot at getting me a loan.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;The first four places he tried were the same banks that I&#39;d told him had already turned me down. I thought that was kind of strange, so when he reported back, I asked him about it and said, &quot;I thought I told you not to bother with those banks.&quot; He said, &quot;You&#39;re a well-known commodity, so I just thought I&#39;d take another shot at them.&quot;&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;I continued, &quot;Okay. Who else have you got?&quot; He says, &quot;Of course, I&#39;ve got plenty of other sources - more finance companies, insurance companies, the works!&quot;&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Two or three weeks went by and he didn&#39;t bring me any quotes. When I called him on the telephone and asked how it was going, he responded, &quot;It&#39;s kind of a slow market right now. I&#39;m hoping to have something for you by the end of the month.&quot; &quot;Well,&quot; I said, &quot;The end of the month is too late. I have to get a quote pretty quick because I must have a commitment by the end of the October, if I am going to close in January, wouldn&#39;t you say?&quot; Although he agreed with me, he still wanted me to give him until the end of the month, but I didn&#39;t-I fired him on the spot.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;That morning I had been in the library, where I saw a ten- year-old book bigger than a video projector entitled, &quot;Crittenden Real Estate Finance Directory.&quot; It was a reference book-you couldn&#39;t check it out, but I figured I needed my own copy of it. So, I called the company and got them to ship it to me for $300, which in 1987 was quite a lot of money.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;When the book arrived and I started going through it, I was like a kid in a gigantic candy store. They had a page for every lender in the United States-the little banks and the big banks, the finance and insurance companies, all the pension funds-everybody.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;So, I started through the book, looking for what their criteria was-in other words where would they lend, how much or how little would they lend, what kind of loan-to-value, and what kind of debt coverage ratios did they use. I started writing everyone who seemed to meet my criteria. A number of them responded by saying they would make 100% loans with the right setup. Five days later, I received a call from a guy at the Abacus, which tells you how far I got in the book.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;A finance company in Chicago was owned by H. G. Heller, which is a huge finance company owned by the Fuji Bank and, at that time, was the biggest bank in the world. The guy at Abacus quoted me right over the phone. He says, &quot;I&#39;ll follow this up with a fax and then I&#39;ll ship documents to you. If you fill them out and ship them back immediately, I can have a commitment for you within 10 days.&quot; I said, &quot;Wow!&quot; Now, if I&#39;d been going through my mortgage broker, that would have cost me a point-and a point on $3,200,000 is $32,000.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;Instead, I spent $300 on a book, wrote letters for four or five days, then talked on the telephone for 20 minutes, and got this great deal.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;You can find other reference books like this, but I still think that the Crittenden Directory is the best. They have all kinds of products and even carry newsletters from all sorts of lenders, including insurance companies.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;They still have the original three major directories: the Crittenden Directory of U.S. Real Estate Financing, the Directory of U.S. Investors and Buyers, and the Directory of U.S. Retail Space Users. Each of these cost about a $1,000. The last one I bought was three years ago and it was on a CD-ROM, which is very cool, because you can quickly search it.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;This directory lists all active lenders across the U.S. that make commercial loans. It includes contacts for construction loans, joint ventures, acquisition and development loans, and much more. They&#39;ll lock in the rates when they have a written commitment. Brokers are accepted, but not given preference. It gives you the contact information on everybody.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;This is the killer. Until I met up with the Crittenden Directory, I thought that mortgage brokers had many better contacts than I could ever have! Not true any longer, that&#39;s for sure.&lt;/p&gt;&lt;p&gt;Locating potential commercial real estate deals can be the most important aspect of commercial real estate investing. In fact, without solid deals, you do not have any property in which to invest. It is really necessary to find the best deals you can so that your invested capital is maximized in its return.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;When you locate only great deals, you can do fewer deals per year and make an exorbitant amount of money. Great deals are characterized by a return that equals three to four times the amount of your investment. However, if you find only average deals, the return per deal can be considerably less, causing you to either not make as much money, or do more deals per year. There are many sites that have hundreds of commercial properties for sale ranging from raw land to large retail and apartment complexes. These sites have information on both the property and the broker, so you can easily get in contact with the broker and learn more about the property. You can filter the information as you see fit, usually according to your specific criteria.&lt;/p&gt;&lt;p&gt;&lt;br /&gt;&lt;/p&gt;&lt;p&gt;One of the best sites is Loopnet.com. This site houses hundreds of brokers all over the United States who post their many listings. You can filter through deals very quickly and reach a larger audience than you would in just your own community. Your ability to build contacts also increases with so many brokers and agents at your fingertips.
