In an email to Legaltech News, a spokesperson for Docusign said the company expects the deal to close in a few weeks.</p><p>The acquisition is part of a larger plan to bolster Docusign’s position in the emerging SaaS category of Intelligent Agreement Management, the release said. Last month, the e-signature company unveiled Docusign IAM, an Intelligent Agreement Management platform and suite of applications expected to launch in May. Among the new services previewed for the platform at the time were Docusign Navigator, an artificial intelligence-powered agreements repository; Docusign Maestro, which creates custom agreement workflows; and Docusign App Center, which brings different applications together. Over the weekend, the company disclosed in an 8-K that it received a “Wells Notice” from the U.S. Securities and Exchange Commission, indicating that it is preparing to sue Robinhood over its cryptocurrency unit.</p><p>The notice said staff made a “preliminary determination” to recommend that the commission file an enforcement action against Robinhood Crypto for violating securities laws. When agencies promulgate these regulations, it often falls to federal courts to review whether those regulations are based upon an appropriate interpretation of the statutes Congress enacted. Inevitably, the executive and judicial branches of government will sometimes have differing interpretations of the language in these statutes. The U.S. Supreme Court considered this interplay of powers in its decision in </span><i><span style="font-weight: 400">Chevron U.S.A. v. Natural Resources Defense Council</span></i><span style="font-weight: 400">, 467 U.S. 837 (1984). There, the court announced a two-step framework that courts have since utilized to review an agency’s statutory interpretation, an approach commonly called “</span><i><span style="font-weight: 400">Chevron</span></i><span style="font-weight: 400"> deference.” This analysis requires courts to first ask whether Congress directly and unambiguously addressed the question at issue. If Congress’ intent is unclear because the statute is silent or ambiguous, then “the question for the court is whether the agency’s answer is based on a permissible construction of the statute.” If so, the court is to defer to the agency’s interpretation, even if the court would have independently come to a different conclusion. </span></p><p><i><span style="font-weight: 400">Chevron</span></i><span style="font-weight: 400"> deference has frequently been challenged and critiqued since the court established the doctrine in 1984. In two pending cases, </span><i><span style="font-weight: 400">Loper Bright Enterprises v. Raimondo</span></i><span style="font-weight: 400"> (No. 21-5166); and </span><i><span style="font-weight: 400">Relentless v. Dep’t of Commerce </span></i><span style="font-weight: 400">(No. 22-1219), the Supreme Court will consider whether to significantly modify the doctrine, or even abandon it completely. An essential element of a §1983 claim for relief is that the defendant acted under color of state law. The Fourteenth Amendment due process and equal protection clauses, and the incorporated Bill of Rights, apply to state action, not private action. Color of law under §1983 and state action under the Fourteenth Amendment mean the same thing.</p><p>Although §1983 and the Fourteenth Amendment draw a dichotomy between state action and private action, the real world is much messier than that.
