Mishaal co-wrote the infectious indie-leaning song with Greg Recchia and Mike Guerriero and co-produced the track with Andrew Wells. The release of ‘KEEP IT UP’ comes just ahead Mishaal’s visit to the UK, which includes a performance at Brighton’s Komedia as part of The Great Escape Festival on 16th May and a headline show at London’s Camden Assembly on 17th May. Mishaal is the first modern musician from his country to make an impact within the global music industry, which was marked by Mishaal being the first Saudi artist to sign to a major record label in 2020. Tamer, who sings in Spanish, English, and Arabic, now works under independent label Arabian Knights/EMPIRE and is in the process of creating his debut album, Home Is Changing. The album will consist of five chapters representing a different subject, this will include tracks from THE DEEP and THE HEART EPs that have recently been released.</p>

  66. <p>Her rich, versatile vocal, emotional melodies and cinematic, powerful contemporary inspired compositions have been embraced heavily by the sync/TV/trailer music world since her 2019 debut single ‘Into The Fire’, which also saw her invited to join American artist Fleurie on her first European tour. During the tour, she caught the eyes of promoters who invited her back to open for household names Johannes Oerding and Michael Patrick Kelly.</p>
  67. <p>In the UK, LLOREN is no stranger to the annual PRIDE celebrations having played both Manchester and London where she headlined the women&#8217;s stage and has entertained crowds over 10000.   113. <content:encoded><![CDATA[<p>For many years, geraniums have been the most popular flowering plant for beds and balconies. And with good reason: geraniums come in numerous colours and shapes. They grow quickly; flower abundantly and continuously from spring to autumn; and are low maintenance and hardy. You don&#8217;t need to be an expert for your geraniums to flourish. This plant also gives gardening novices a sense of achievement if they follow a few tips. The experts at Pelargonium for Europe (PfE) know exactly what&#8217;s important when planting and caring for geraniums.</p>
  114. <p>When is the best time to plant geraniums?</p>
  115. <p>As soon as the first warm spring days arrive, you might want to start planting out balconies and terraces straight away. But be careful with geraniums, as they don&#8217;t tolerate cold well. They should only be planted when nights are consistently frost-free and daytime temperatures are regularly above 10°C. If you just can&#8217;t wait, be prepared to protect your geraniums from cold, if necessary. For example, when the outside temperature is low, your plants will be better off on a windowsill, a rack on your house wall, or under cover, than on a draughty balcony railing or in a pot on the cold ground. At night, you can protect geraniums from frost with garden fleece, bubble wrap or a bed sheet. However, if it gets really cold again, you should temporarily place your plants in a sheltered indoor space. Conservatories, frost-free summerhouses or garages are suitable emergency shelters &#8211; ideally with natural light.</p>
  116. <p>What should you consider when planting geraniums?</p>
  117. <p>Whether in a balcony box, container, pot, hanging basket or bed, geraniums feel at home anywhere. Provided they have enough space. The distance between plants should be at least 20cm and the height of the pot should be no less than 18cm. When planting, use high-quality, pre-fertilised compost, remember to include a drainage layer and make sure excess water can drain away at all times.</p>
  118. <p>What&#8217;s the ideal location for geraniums?</p>
  119. <p>Geraniums are light-sensitive plants. The more sunlight they get, the more abundantly they bloom. To enjoy lots of flowers quickly, buy well-developed plants with plenty of buds and dense foliage. Geraniums are at their best in a full sun location. However, they can also cope with partial shade. Geraniums don&#8217;t like constant rain. Varieties with large or double flowers in particular like a protective roof over their heads on rainy days.</p>
  120. <p>How do you water geraniums properly?</p>
  121. <p>Geraniums can store a lot of moisture in their leaves and stems, so a few days without water are not a problem. However, they need regular watering to bloom abundantly. On very hot summer days, it&#8217;s a good idea to water them in the morning and evening. Reservoir window boxes and automatic irrigation systems can significantly reduce the amount of watering required. Tip: Rainwater or standing water is ideal for watering.</p>
  122. <p>With bushy plants in particular, sometimes the moisture doesn&#8217;t reach the soil, even in rainy weather. To find out whether your plants need water, check the soil moisture with a finger. If the soil feels warm and dry, you need to water. If it rains continuously, experts recommend avoiding drip trays or pots in which water can collect, as geraniums don&#8217;t like to be waterlogged.</p>
  123. <p>How do you fertilise geraniums properly?</p>
  124. <p>Geraniums need a lot of nutrients. You should start fertilising them about four to six weeks after planting. By then, the nutrients have often already been used up, even with pre-fertilised compost. For optimum nutrition, simply add a commercial flowering plant fertiliser to the water once a week. Alternatively, you can use fertiliser sticks. These last for around two to three months.</p>
  125. <p>If slow-release fertiliser was used when planting, you can leave more time before applying a top-up feed. Exactly how long depends, among other things, on the type of fertiliser used and the temperature and soil moisture. From late summer onwards, it&#8217;s not uncommon for geraniums to need additional nutrients even when fed with slow-release fertiliser. You can recognise a nutrient deficiency when your geraniums no longer flower properly or their leaves turn yellow, even though everything else is fine.</p>
  126. <p> Remove faded flowers</p>
  127. <p>Regularly removing spent flowers and leaves, as well as dead stems, keeps geraniums healthy and stimulates flower formation. Self-cleaning varieties, which are mainly found among trailing geraniums, shed faded flowers on their own and usually produce new ones straight away. However, withered leaves still need to be removed by hand.</p>
  128. <p>Overwintering geraniums</p>
  129. <p>Geraniums are perennials. If you want to overwinter them and have enough space, before the first night frost, cut your plants back to around 15cm and move them to a bright, cool place. Geraniums need no fertiliser and hardly any water in winter. In spring, repot your plants in fresh compost and place them in a warmer spot. With a bit of luck, they will sprout again. </p>

  147. <p>The death of a shareholder in a private limited company has the potential to disrupt the running of the business, to create uncertainty and to raise concerns for the remaining shareholders and directors. In many private companies there is a close working relationship between shareholders and directors; individuals are often both, and so the death of a shareholder creates real issues for the business. What happens to his/her shares? What are the implications of<br />
  148. this change of control? If the deceased shareholder was also a director, this will impact on the day to day running of the business. For all concerned with the company, thinking about the consequences in advance and ensuring specific provisions are in place, will enable the business to deal the death of a shareholder with minimal disruption.</p>
  149. <p>There are several possible strategies to ensure a smooth transition for the business, these are explored further below.</p>
  150. <p>Company Law</p>
  151. <p>How a company is run, what it can and cannot do is partly a matter of company legislation and partly what is set out in that company’s specific constitution. The primary source of UK company law is the Companies Act 2006 which has over 1200 sections and covers most aspects of how a company should be financed and managed. In addition, every company has its own articles of association &#8211; a detailed set of written rules in accordance with which the shareholders and directors agree the company will be run. This is a contract between company and shareholders determining, among other things: &#8211;<br />
  152. what rights attach to a particular class of share;<br />
  153. how shares may be issued and transferred;<br />
  154. how directors are appointed and removed;<br />
  155. what powers are reserved for shareholders and what are the directors’ duties; and<br />
  156. requirements for meetings and resolutions of directors and shareholders.<br />
  157. The Companies Act 2006 includes a set of Model Articles as default articles for a private company, but on incorporation, a company may choose to adopt completely bespoke articles or to modify the Model Articles and may amend such articles by shareholders’ resolution at any point in its history. Companies incorporated before 2009 may have Table A articles based on the earlier Companies Act 1985 which differ from Model Articles.</p>
  158. <p>What happens to the shares on the death of a shareholder?</p>
  159. <p>Is there a will? If the shareholder died leaving a valid will appointing one or more executors, following grant of probate, such executor(s) will become the deceased shareholder’s personal representative (PR(s)).</p>
  160. <p>Provided the shares are registered in the deceased shareholder&#8217;s sole name then legal title to the shares will transfer to the PRs by operation of law known as transmission. The PRs have authority to act in the deceased&#8217;s estate from the date of grant. However, directors of a company dealing with PRs should always check the company’s articles of association for any specific provision.</p>
  161. <p>If the shares are registered in joint names, the position is different. On the death of one shareholder legal title passes automatically by transmission to the surviving shareholder, not to the PRs. The shares are then usually re-registered in the surviving shareholder’s sole name.</p>
  162. <p>If there is no valid will, those who may administer the deceased shareholder&#8217;s estate have no authority to do so until they obtain a grant of representation constituting them as PRs. The rules of intestacy must be followed, and this process can be slow which can create difficulties for the company if shareholder resolutions need to be passed.</p>
  163. <p>There are additional pitfalls if the deceased shareholder is also the sole director. If a shareholder dies, provided there are other shareholders in the company, the remaining shareholders can hold a meeting to appoint a new director who is then authorised to deal with the day to day running of the business. On the death of a sole director who is also the sole shareholder there is an immediate problem of how to appoint a new director to manage the business. The Model<br />
  164. Articles do provide that the PRs of the deceased shareholder/director can appoint a new director, but for companies incorporated before 2009, Table A articles contain no such provision which means a practical impasse and the requires the PRs to apply to court to appoint a new director.</p>
  165. <p>From the perspective of the directors and remaining shareholders, the process of the transmission of shares is something of a lottery. The individual who inherits the shares under the terms of the will or intestacy rules may be previously unknown to the remaining shareholders, may have limited knowledge of the business but will now be part of the key decision-making process. To avoid this situation, the issues of what should happen to the shares on the death of a shareholder should be addressed before the problems arise. Since PRs’ rights are subject to any specific provisions in the articles of association or in an existing shareholders’ agreement, it makes sense for the company to<br />
  166. adopt a set of bespoke articles to include among other things, restrictions on the transfer of shares in the event of the death of a shareholder.</p>

  168. <p>Under the Model Articles, provided PRs have evidence of their entitlement to the shares, they can request the company to formally register them as holder of the shares. PRs may not attend or vote at a general meeting or agree to a written resolution until they become the registered holders. In practice, the shares often remain in the deceased shareholder’s name until transferred to the beneficiary. However, this can be avoided if the company has adopted a set of bespoke articles and/or a shareholders’ agreement which sets out what should happen on the death of a shareholder. Particularly where there are a few founder or other significant shareholders, having a shareholders’ agreement and dovetailed articles of association in place facilitates an orderly transfer and protects shareholders’ rights.</p>

Following the findings, the company has created a free ‘print off’ Tooth Fairy invoice so children can request the money they are owed. </p>
  186. <p>A leading voucher code site, Bountii, has revealed the amount of money children in the UK are owed over the past decade from theTooth Fairy. The research into the average amount of money kids are given, discovered that the Tooth Fairy is not keeping in line with inflation, with children of baby-teeth-losing age in the UK, out of pocket by approximately £18 million this year alone.</p>
  187. <p>Annually, approximately 15 million baby teeth are lost by children across the UK, translating into millions of pounds exchanged from under pillows to piggy banks. Over the last ten years, however, the price of a baby tooth has only increased from a rate of £1.50 in 2013, to £1.80 in 2023. Although this is a 30p increase in payment for baby teeth, this figure has not changed enough to match the ever-increasing inflation rate in the UK. </p>
  188. <p>According to an estimated inflation of 54.7% from 2013 to 2023, the children should be receiving around £3 per tooth, adjusting for the inflation rate over the past decade. However, with only a 10% increase in the past ten years, the Tooth Fairy is falling behind.</p>
  189. <p>Although the figure hasn’t drastically increased per tooth or child, due to inflation, children in the UK will have missed out on an estimated £180 million in the last 10 years and will fall short of £18 million in 2024 alone. </p>

  210. <content:encoded><![CDATA[<p>A new report out today has revealed that May 1 is the most popular day of the year for breaking up.<br />
  211. Nearly seven in ten (69%) cite May as the best month to end a relationship ahead of the warmer summer months. Three in 10 Brits (30%) say the 1st day of the month is the best time to break up with someone, as it gives them a clean break at the start of the month.<br />
  212. The study of 2,000 Brits, commissioned by Sky Mobile, found that just under three-quarters (73%) say spring is the optimal season to start a fresh, so to kick start the season of new beginnings, Sky Mobile is offering some switch-worthy savings for customers throughout May.<br />
  213. As the weather warms up, six in 10 (63%) of those of surveyed agree that summer is the best season to be single, versus eight in 10 who say they’re more likely to be in a relationship in the winter months.<br />
  214. Over half of respondents (55%) said they have experienced being dumped in the months leading up to the summer, with 86% admitting that they’d like to be more ‘carefree’ in the warmer months.<br />
  215. Half of Brits (56%) are prepared to terminate a relationship by text, citing avoiding confrontation (46%), nervousness around speaking face-to-face or on the phone (42%) and the ease of cutting contact (24%) as their reasons for avoiding those awkward phone calls.<br />
  216. But most Brits are far less decisive, as 68% say they would stay in a relationship even if it was unhappy to avoid having to go through with a breakup, with one in five (20%) admitting they have been stuck in an unhappy relationship for over a year.<br />
  217. Just under three-quarters (72%) admit that they dither rather than face up to their partner and have a conversation, with 77% admitting they would be more likely to break up with someone over text if it was guilt free.<br />
  218. The study by Sky Mobile also found that Brits struggle to make changes in other areas and relationships in their lives such as ending toxic friendships (37%), getting rid of old photos and souvenirs (27%) and chucking out rarely worn clothes or jewellery (27%).<br />
  219. As well as being slow to get rid of unsuitable partners (26%), Brits also typically take a long time to; switch their mobile phone network (16%), switch their bank accounts to more favourable financial providers (12%), and cancelling gym memberships that are rarely used (7%).</p>

  318. <p>He was predominantly used as a carriage horse alongside fellow grey Shire horse, Nobby, who is a little younger and still learning the ropes, but equally huge in stature.</p>
  319. <p>Together, they served at all kinds of major events, including Elizabeth II’s funeral where they collected thousands of beautiful floral tributes left by the public to honour our late Queen. They were also involved in the Platinum Jubilee (including a special appearance in the ITV programme), Shire Horse Sunday (the annual blessing of the Shire horses by HM’s Chaplain at the Chapel Royal), and the blessing of the plough at Wellington Barracks.</p>
  320. <p>As part of his everyday duties, Heath carried out crucial conservation work in London’s green spaces, as well as meeting the public, including his adoring fans, and even providing carriage rides on occasion!</p>
  321. <p>During his time working in The Royal Parks, Heath stole many hearts not only due to his unique appearance but because of his brave and kind personality, too. He was described by his former colleagues as a real gentleman who taught all the youngsters the ropes.</p>
  322. <p>Towards the end of his career, Heath was found to have a weakness in his right shoulder, meaning he could no longer pull carriages. Although sound when not working, he experienced stiffness when stabled and so it was decided that The Horse Trust’s Home of Rest for Horses was well matched to Heath’s needs.</p>
  323. <p>The head of the stables providing heavy horses to The Royal Parks said:</p>
  324. <p>“Heath is no doubt our best horse and it will be a sad day to see him go. We had hoped to have him a further few years but his shoulder is now such that he is comfortable at rest but no longer at work. I’m sure he will be much loved at The Horse Trust.”</p>
  325. <p>The Royal Parks is the charity that cares for the most famous collection of urban parks in the world. They provide free access to London’s beautiful, natural and historic green spaces, to help improve everyone’s quality of life and wellbeing.</p>
  326. <p>They use 10 Shire horses, stabled at Richmond Park, working hard to carry out crucial conservation activity across all the parks and London’s other green spaces, as well as ceremonial duties, and carriage rides on occasion.</p>
  327. <p>We are honoured to welcome Heath into our care after many years of noble service. He brought joy to the days and lives of many, worked hard towards a greener London for everyone, and bravely served our country at countless state occasions.</p>
  328. <p>It is time to remove Heath’s harness and grant him a very long and well-deserved retirement amongst our green pastures, in the Chilterns in Buckinghamshire. Heath is currently enjoying getting to know fellow retiree, Yachtsman, who recently joined us from the Metropolitan Mounted Branch. Our Equine Care Team, of course, are all absolutely smitten with Heath; a huge bundle of love!</p>
  329. <p>Jeanette Allen, CEO of The Horse Trust, says:</p>
  330. <p>“Heath is a truly stunning horse who has undertaken such valuable work during his service. It is a testament to The Royal Parks that they use heavy horses for traditional land maintenance work rather than always turning to machinery. It must be a good thing for the sustainability agenda to go back to some older working practices that utilise the strength and skills of our country’s amazing heavy horse breeds. The more this type of initiative can be taken up the better and may also help save some of these breeds whose numbers have got alarmingly low in recent years. We are thrilled to have this gentle giant join us and wish him the happiest possible retirement, he and Yachtsman are already inseparable.”</p>
