In a landmark press conference in 2020, Lee Jae-yong, Samsung Group’s third-generation chief who was then vice chairman of Samsung Electronics, announced that he would not pass the management rights of the conglomerate on to his own children.Even the conglomerates with weaker family ownership affiliations, such as steelmaker POSCO, mobile carrier KT and tobacco provider KT&G, have faced backlashes over their CEO successions, especially from activist investors who called for corporate governance reforms to unlock shareholder value.Despite the concerns that the removal of “chaebol owners” may hinder the drive for growth, leading global businesses have been inching toward a more dispersed power structure.Among Fortune’s top 500 companies by revenue in the United States, only eight have family shareholders as of today — Walmart, Ford, Comcast, 21st Century Fox, Tyson Foods, Gap, Estée Lauder and Campbell Soup.Japan saw its so-called “zaibatsu,” or conventional family-controlled conglomerates, nationalized during and after World War II.It is now high time for Korea to figure out a compatible solution for business transition – not only for the benefit of conglomerate owner families but also for the sake of market stability and business growth.The country’s tax system, along with the consequent disincentives for management change, is, in fact, one of the factors dampening foreign investments here. Korea’s foreign direct investment (FDI) volume was ranked the world’s 23rd as of 2022 with $18 billion, an amount far lower than that of peer economies and neck-and-neck with less developed ones such as Chile and Colombia.</p> <p>Given that FDI inflows in Korea have created almost 300,000 jobs and an additional 75,000 work opportunities for young people during the past 10 years, this sluggish FDI volume should be seen as a major hurdle to growth.Despite various setbacks, however, some companies have managed to carry out ownership changes.An example is oil refiner and energy company S-Oil, which was acquired by Saudi Aramco in 1991, changing from Ssangyong Refinery to its current multinational subsidiary identity. Similarly, beer maker Oriental Brewery was acquired by the world’s largest brewer, Anheuser-Busch InBev, or AB InBev, in 2014.Another category is businesses acquired by private equities, which are, in most cases, former conglomerate subsidiaries that were put on the market as a result of restructuring.These examples of successful management transitions provide key lessons for Korean companies on how to grow out of conventional family-owned governance.First, it is crucial that the governance of the company be fundamentally tied to shareholders’ interests.</p> <p>Under the current system, many listed Korean companies see little reason to work on shareholder value, as higher stock prices would mostly increase the inheritance tax burden on the controlling shareholder. Once this tax disincentive is removed, business managers will face greater pressure for performance as they might be either dismissed or replaced.Second, the board must remain independent from management and speak on behalf of shareholders.Private equities often strongly empower the board with key decisions, including M&As or even the appointment and dismissal of the CEO. They also tend to hire industry veterans for top managerial posts instead of former high-profile government officials, as is often the case in listed Korean companies.Finally, management incentives must be aligned with shareholders. They could take place in a more direct form such as stock options, or a relatively indirect one such as profits and revenues. Also, management’s tenure needs to be stabilized in order to fully realize the value creation potential.It is true that Korea, despite its economic size and leading industries, still stands at a relatively early stage of capitalism. Market watchers suggest that the ongoing dispute plaguing Korea’s largest entertainment company in terms of market capitalization eroded investor confidence in the overall Korean entertainment sector.According to the Korea Exchange (KRX), the stock prices of four major entertainment companies dropped throughout April.HYBE shares displayed the biggest drop, plunging 12.17 percent in April. This was followed by YG Entertainment, whose stock price fell 9.9 percent, while SM Entertainment’s shares declined 9.6 percent, and JYP Entertainment issues dropped 7.4 percent.Compared to the prices at the start of this year, the decline has become more pronounced, with all four companies displaying significant drops in their stock prices.JYP exhibited the weakest performance, with its share price dropping 34.15 percent so far this year, followed by YG, which experienced a loss of 16.6 percent. SM stocks fell 13.8 percent, while HYBE posted a decline of 13.4 percent during the first four months of this year.Foreign and institutional investors have been leading the selloffs, transitioning to net-selling positions totaling approximately 700 billion won ($507 million) so far this year, reflecting their decreasing optimism over the future earnings and operating profits of the four companies and casting doubt on whether the current growth momentum can be sustained in the foreseeable future.</p> <p>A noticeable trend is the contrasting behavior of retail, foreign and institutional investors. While foreign and institutional investors were selling off entertainment stocks, retail investors went bargain hunting.For instance, foreign and institutional investors each net sold 154.5 billion won and 36.6 billion won worth of HYBE stocks, respectively, from April 22 to 26 when the feud between HYBE and its sublabel Ador, the agency managing K-pop group NewJeans, grabbed headlines. This led HYBE’s stock price to drop 12.58 percent, shedding more than 1.2 trillion won in market cap in just five trading sessions.In contrast, retail investors net-purchased 191.7 billion won worth of HYBE stocks during the same period. Finding jobs was relatively easy, and year-on-year wage increases were substantial. At that time, 70 percent of the population believed they belonged to the middle class.As a result, Korean society now views this generation as “rich” and “powerful,” with them making up a significant amount of the population (8.6 million).Entering the 2020s, individuals born in the 1960s are now approaching retirement.Yet, for many, not working anymore seems like a distant dream.”This generation is the last to take full responsibility for caring for their parents and the first that may not receive care from their children. As they embark on the second act of their lives, they face uncertainty about their lifespan, inadequate retirement savings, and unstable national pension finances,” Kim Gyung-rok, executive advisor at Mirae Asset Financial Group, told The Korea Times in a recent one-on-one interview. Kim, a seasoned expert in the retirement and pension sector, recently published a book titled “The 1960s Are Coming (direct translation)” and shared his analysis of their characteristics and expected futures.</p> <p>Kim believes that polarization is a key term to describe the post-retirement experiences of Koreans born in the 1960s. They experienced distinct labor market divisions after enduring the Asian economic crisis in 1997 and witnessed a shift from traditional to advanced industrial sectors.”Those born in the 1960s who have held permanent positions in the so-called ‘good’ labor market, such as in big corporations, are generally well-prepared for their post-retirement lives. They had a chance to save their stable income and contribute to the national pension for over 30 years,” Kim said.”However, others whose situation was not favorable, including the self-employed or those who have jumped between temporary jobs, are less prepared and face many struggles. If they retire at the age of 60, they have to survive almost 30 years without earned income, savings, or a sufficient pension. They have no choice but to undergo the reemployment process,” Kim added.In addition, the legal retirement age in Korea, 60, is five years earlier than in many advanced economies. Yet it is common for individuals to leave their main jobs as early as between the ages of 50 and 55. This trend is influenced by the large number of baby boomers in their 50s, coupled with the wage system, which is based on seniority rather than performance.As a result, many retirees, still young and active, choose to reenter the job market.
