A captive insurance company (CIC) is similar in many ways to any other insurance company. It is referred to as &#8220;captive&#8221; because it generally provides insurance to one or more related operating businesses. With captive insurance, premiums paid by a business are retained in the same &#8220;economic family&#8221;, instead of being paid to an outsider.Two key tax benefits enable a structure containing a CIC to build wealth efficiently: (1) insurance premiums paid by a business to the CIC are tax deductible; and (2) under IRC § 831(b), the CIC receives up to $1.2 million of premium payments annually income-tax-free. In other words, a business owner can shift taxable income out of an operating business into the low-tax captive insurer. An 831(b) CIC pays taxes only on income from its investments. The &#8220;dividends received deduction&#8221; under IRC § 243 provides additional tax efficiency for dividends received from its corporate stock investments.Starting about 60 years ago, the first captive insurance companies were formed by large corporations to provide insurance that was either too expensive or unavailable in the conventional insurance market.Over the years, a combination of US tax laws, court cases and IRS rulings has clearly defined the steps and procedures required for the establishment and operation of a CIC by one or more business owners or professionals.To qualify as an insurance company for tax purposes, a captive insurance company must satisfy &#8220;risk shifting&#8221; and &#8220;risk distribution&#8221; requirements. This is easily done through routine CIC planning. The insurance provided by a CIC must really be insurance, that is, a genuine risk of loss must be shifted from the premium-paying operating business to the CIC that insures the risk.In addition to tax benefits, principal advantages of a CIC include increased control and increased flexibility, which improve insurance protection and lower cost. With conventional insurance, an outside carrier typically dictates all aspects of a policy. Often, certain risks cannot be insured conventionally, or can only be insured at a prohibitive price. Conventional insurance rates are often volatile and unpredictable, and conventional insurers are prone to deny valid claims by exaggerating petty technicalities. Also, although business insurance premiums are generally deductible, once they are paid to a conventional outside insurer, they are gone forever.A captive insurance company efficiently insures risk in various ways, such as through customized insurance policies, favorable &#8220;wholesale&#8221; rates from reinsurers, and pooled risk. Captive companies are well suited for insuring risk that would otherwise be uninsurable. Most businesses have conventional &#8220;retail&#8221; insurance policies for obvious risks, but remain exposed and subject to damages and loss from numerous other risks (i.e., they &#8220;self insure&#8221; those risks). A captive company can write customized policies for a business&#8217;s peculiar insurance needs and negotiate directly with reinsurers. A CIC is particularly well-suited to issue business casualty policies, that is, policies that cover business losses claimed by a business and not involving third-party claimants. For example, a business might insure itself against losses incurred through business interruptions arising from weather, labor problems or computer failure.As noted above, an 831(b) CIC is exempt from taxes on up to $1.2 million of premium income annually. As a practical matter, a CIC makes economic sense when its annual receipt of premiums is about $300,000 or more. Also, a business&#8217;s total payments of insurance premiums should not exceed 10 percent of its annual revenues. A group of businesses or professionals having similar or homogeneous risks can form a multiple-parent captive (or group captive) insurance company and/or join a risk retention group (RRG) to pool resources and risks.A captive insurance company is a separate entity with its own identity, management, finances and capitalization requirements. It is organized as an insurance company, having procedures and personnel to administer insurance policies and claims. An initial feasibility study of a business, its finances and its risks determines if a CIC is appropriate for a particular economic family. An actuarial study identifies appropriate insurance policies, corresponding premium amounts and capitalization requirements. After selection of a suitable jurisdiction, application for an insurance license may proceed. Fortunately, competent service providers have developed &#8220;turnkey&#8221; solutions for conducting the initial evaluation, licensing, and ongoing management of captive insurance companies. The annual cost for such turnkey services is typically about $50,000 to $150,000, which is high but readily offset by reduced taxes and enhanced investment growth.A captive insurance company may be organized under the laws of one of several offshore jurisdictions or in a domestic jurisdiction (i.e., in one of 39 US states). Some captives, such as a risk retention group (RRG), must be licensed domestically. Generally, offshore jurisdictions are more accommodating than domestic insurance regulators. As a practical matter, most offshore CICs owned by a US taxpayer elect to be treated under IRC § 953(d) as a domestic company for federal taxation. An offshore CIC, however, avoids state income taxes. The costs of licensing and managing an offshore CIC are comparable to or less than doing so domestically. More importantly, an offshore company offers better asset protection opportunities than a domestic company. For example, an offshore irrevocable trust owning an offshore captive insurance company provides asset protection against creditors of the business, grantor and other beneficiaries while allowing the grantor to enjoy benefits of the trust.For US business owners paying substantial insurance premiums every year, a captive insurance company efficiently reduces taxes and builds wealth and can be easily integrated into asset protection and estate planning structures.   116. <content:encoded><![CDATA[<p> Importance in ManagementJohn Kotter describes management as consisting of planning; organising and resourcing; review and control; and communication.  All of these activities are heavily influenced and informed by performance management.Performance management is an absolutely essential business management process and an important tool for people managers to use in meeting their business objectives:· Organisations are increasingly realising that it is often not the quality of their strategy but their employees&#8217; ability to implement it that will make the difference.  Bossidy and Charan define this ability to execute as &#8216;the missing link between aspirations and results&#8217;.· In addition, in order to maximise an organisation&#8217;s potential for achieving its strategy, it is essential that the organisation both creates and develops the capability of its people.  Improved business performance can really only be achieved through effective people management.The purpose of Performance Management is, therefore, to increase the effectiveness of people at work in order to improve business performance.Achieving this improvement in performance should be the number one priority for any line manager.  A manager can achieve high performance much more easily by working through their team, rather than concentrating on their own day-to-day tasks.By managing their people effectively, managers gain greater productivity from all those in their team. This means less time concentrating on the things that go wrong, and more time on looking ahead to advance their team&#8217;s capabilities and improve both their own and their team&#8217;s value to the organisation.This is why Jack Welch at GE used to spend more than fifty per cent of his time on people issues.Bureaucracy is HistoryIn practice, many managers concentrate on their own responsibilities and on their own technical / functional expertise, fitting in people management around this.  Management becomes an add-on when it should be the central focus of their job.So why is performance management often pushed to the side in this way?A common reason seems to be that performance management is often associated with paperwork, bureaucracy and difficult conversations.  This is largely due to the way the process has developed over time.Up until the early 1990s, performance management was seen largely as an appraisal scheme for determining performance related pay increases.  People may have used it for setting objectives at the start of the year and were then appraised against their achievement of these objectives at the end of the year.  The results of this appraisal would determine pay and promotion.The whole process would have been fairly static with people only really looking at their objectives at the start or end of the year.  Some more enlightened organisations may have had more regular reviews, however, common practice was still rather event driven.Since there was little ongoing conversation, the end of year rating would often come as a surprise.  This would lead onto long debates about evidence, judgement and subjectivity and an overall deterioration in the line manager / employee relationship.Overall, performance management was rather monolithic, it was owned by HR, viewed as being something you had to do to get paid and certainly not something that was not seen as having real business value.Requirements for EffectivenessPerformance management is now usually seen as a process, rather than an event, with individuals and line managers much more likely to use the process regularly.  When used like this, performance management is much more of a monitoring process that helps individuals and line managers take stock of where they are and plan what they need to do to achieve the right results.  Performance management processes are also more likely to be used to engage and enhance individual, team and organisational performance.This has been helped by a number of things:· Clarity in performance objectives:  whether through the use of scorecards (key performance measures spread over four or more quadrants, for example, people, finance, customer and process) or through Key Performance Indicators, the setting of performance standards is essential.  Every member of staff should be clear about their role, what they are expected to do and the level of performance they need to attain.  Only when individuals can clearly see how their efforts contribute to the achievement of the organisation&#8217;s overall objectives can they fully focus on moving the organisation forward.  Individuals appreciate this clarity, become more motivated about what they need to do as a result and are encouraged to develop their capability to achieve as much as they can.  Any performance management process needs to ensure that this strand is put in place.· Performance assessment and feedback:  naturally enough it is not sufficient just to make it clear to people what they need to do.  Effective assessment of performance at regular and appropriate times is also essential.  The role of the line manager in this is crucial as they must provide the appropriate guidance, feedback and support to help their staff understand how they are doing; where a line manager can show appreciation of a person&#8217;s contribution, identify their career and engagement drivers, and find ways to motivate the individual to perform, grow and stay within the organisation.  Even when giving constructive criticism, when done when, performance management meetings should be positive and engaging events.· The development focus:  people have seen that development is an essential element of driving up individual performance.  Competence frameworks have often been used to assess the level of capability an individual has and identify where they need development.  The individual can then undertake some form of development to reduce their capability gap.  This focused development can then be seen to directly help the individual perform better in their role and thus increase their contribution to overall organisational performance.· Flexible and pragmatic approach:  the processes that are used today are much better able to cope with different needs, requirements and abilities.  When building performance management processes the accent needs to be on simplicity, usability and flexibility.  This ensures that the process can be used, helps individuals understand what they need to do and how they need to do it (i.e., what are the right behaviours they need to demonstrate) and focuses the organisation on a performance culture.  Once again the new performance management is not about control it is about enablement and whatever process is designed, this must be its key aim.· The use of systems and technology:  technology can be an enormous help to making a performance process useable and attractive.  With the growth of Intranets, a simple solution can be produced that makes the individuals objectives or performance criteria much more accessible.  Individuals can be encouraged to look at the system on a more regular basis and see performance management as a continuous process.· This is not a HR owned process:  one of the more potent changes has been that forward thinking HR practitioners have understood that they do not own the performance management process.  They need to be responsible for creating, embedding and supporting the process but they do not own it; the business does.  If performance management is to be a tool to enhance business performance (through enhancing individuals and their development) then the business needs to own it.  HR has used this shift as a means of helping HR business partners achieve their objectives.  This is a fundamental change that has helped in the understanding of the value of performance management and has significantly increased its usage.Line Manager CapabilityA critical role here is that the line manager is a &#8216;coach&#8217;; Case in point, how can we help our spouse and or children if we become obese and ultimately have poor health?Let me take you down memory lane to assist you in understanding my relationship with obesity. While in high school, prior to ever driving my dads car or owning and driving my own car in the 11th grade, I was in fantastic physical shape.Why? My father could only afford an inexpensive car and he was not about to let me wreck his only car.The point I am making is this, I walked everywhere I had to go and or catch a ride with a relative or friend of mine. Walking keeps me in good physical shape as it does for many people.Ultimately I purchased my own car, had a part-time job and spent less time walking. Over the years I gradually gained weight, so personally for me there is a correlation between walking and good health, it is a good exercise.So how does one incorporate a mind, body and spirit program into their life. First things first, we must come into a consciousness of our mind that passes all understanding when it comes to ensuring our mindset is in tune with our whole person.In other words, our intentions must be right-minded and positioned such that, we adopt good habits for ourselves, leading to a healthy mental lifestyle. We are internal beings meaning, everything starts on the inside, in our mind and then our heart. Add a special ingredient called intention and let us face it, we are on our way by embracing a healthy mental attitude towards our health.As for taking care of your body, I highly recommend visiting your doctor first and get a comprehensive examination, from head to toe. Assess where you stand in relations to the results you receive from your doctor and work with your primary care provider to come up with a physical conditioning program.The bottom line is if you spend 30 minutes a day for three days a week walking, stretching, running, workout on a treadmill, weight lifting and or playing an organized sport. It has been proven that we add years to our life when we exercise, we sleep better, look better and have peace of mind. Physical exercise is time well spent and is a better investment than an expense healthcare program because it is a preventive measure.Lastly, and arguably one of the most important aspects of mind, body and spirit is spirit. Why?Everyone has a spirit and like all aspects of our life, we must take care of it. Taking care of our spirit may entail prayer, meditation, fellowship with others, and calling upon our creator for direction. Spirit represents a trinity of ones being and is a key indicator of people taking priority of their life.Make yourself the top priority of your life and watch how much better your life will be. When the mind, body and spirit is aligned, life takes on a whole new meaning, its get better and better. </p>

Derek designed Ford&#8217;s &#8216;Win&#8217; garden, following his &#8216;Win Speech&#8217;, advising the nation ten ways to fight inflation.Many garden designs by Derek Fell have been implemented without inspecting the site. It can be tricked over stones, cascaded from a great height so its crashes onto rocks. It can fall in a solid sheet or as silver threads. A beautiful water garden with waterfalls and stepping stones can be located in sunlight or shade. The water garden shown here is located at Cedaridge Farm. It includes a pool for dipping, and it features both a collection of koi and hardy water lilies. A popular water garden design features a koi pool fed by a series of waterfalls, and the water re-circulated through filters to keep the water clear.Sunny Perennial Border. This can be formal or informal, square, rectangular, round and kidney shaped, in the form of an island bed or backed against a decorative hedge, wall or fence. Plants can be chosen to produce a parade of color through all the seasons, or concentrated for a particular season. Color themes can be polychromatic like a rainbow, monochromatic (for example all white &#8211; perfect for a wedding), or it can feature an Impressionist color harmony, such as yellow and purple; orange and blue; red, pink and silver; blue, pink and white; even black and white or black and orange (one of Monet&#8217;s favorites). A popular perennial garden design is two parallel border with a grass path leading to a focal point such as a sculpture or gazebo.Tropical Garden. You do not need to live in a frost-free area to have a beautiful tropical garden. At Cedaridge Farm we have two &#8211; one is a tribute to the design philosophy of the late Roberto Burle Marx, who designed dramatic tropical gardens around Rio. It is in a lightly shaded area and features plants that are hardy (like &#8216;Sum &#038; Substance&#8217; hosta) but look tropical and tender plants that are tender (like banana trees and tree ferns) that either need moving indoors during winter or can be discarded like annuals at the end of the season. Our second tropical space is a patio with tropical plants grown in containers.Shade Gardens. We design two kinds of shade gardens &#8211; one where the plants provide mostly foliage interest (like ferns, hostas, heuchera and hakone grass), and plants that flower well (like impatiens, coleus, and lilies), or a combination of the two.Woodland Garden. The herb garden at Cedaridge Farm is a &#8216;quadrant design&#8217;, feature in numerous calendars and books, including Derek Fell&#8217;s &#8216;Herb Gardening for Beginners.&#8217; We can also provide a cartwheel design or a parterre herb garden for bountiful harvests of fresh herbs. The Herb Garden can also do double-duty as a vegetable garden.Cutting Garden. The cutting garden at Cedaridge Farm features bulbs such as tulips and daffodils for spring, and ever-blooming annuals to follow the bulbs so armloads of flowers can be harvested from April through October.Victorian Garden. A garden with romantic overtones! Imagine a white gazebo framed by mostly white flowers for a wedding in the family. Or choose from among several color harmonies, such as yellow and blue, red, pink and silver, or blue, pink and white.Cottage Garden. You don&#8217;t need a cottage to have a cottage garden. But if you do, such as a guest cottage, why not wrap it in shrub roses and climbers, plus those delightful English cottage garden plants like poppies, sunflowers and pinks. We also like to include plants to attract butterflies and hummingbirds.Stream Garden. Lucky you if you have an existing stream to be landscaped. At Cedaridge Farm we have a stream, but when we moved here it was overgrown with poison ivy and brambles. Today it is criss-crossed with bridges, and beds of moisture-loving plants like astilbe and water iris. If you don&#8217;t have a stream, but would like one, we can create a design where the water is re-circulated along one that&#8217;s man-made but looks natural.Orchard. You don&#8217;t need a lot of space for a productive orchard. By making the right choices, fruit trees can be grown in containers or espaliered against fences and walls to save space. Peaches and apples can be trained over arbors. Just a few plants of small fruits like strawberries and raspberries can be highly productive.Bog Garden. Ideal for soils that tend to remain moist all season, bog gardens can be extremely colorful and highly imaginative, incorporating stepping stones and bridges to cross wet areas, and growing some of nature&#8217;s most diverse plant families, such as water iris, Japanese primroses, astilbe and waterlilies.Japanese Garden. The problem with many Japanese gardens is a tendency to use pseudo-Japanese elements such as Chinese dragons.
